What changed on September 28?

NVIDIA's board authorized an additional $150 billion of share repurchases on September 28, 2026, bringing the remaining authorized amount to $235 billion. The company said it expects to execute the remaining program through fiscal 2028. That timing is management's expectation, not evidence that the purchases have already occurred. The announcement expands the capital-return plan; subsequent disclosures will establish its execution.

The immediate research task is to keep three things separate: the new authorization, the total amount still authorized, and completed purchases. Adding $150 billion to $235 billion would double-count the increase. Describing either figure as cash already returned would turn a board decision into a transaction that the announcement does not report.

Our interpretation is that the announcement creates a larger capital-allocation plan to monitor. It does not, on its own, establish the future purchase price, number of shares retired, or return earned by continuing shareholders.

Use the prior quarter as a dated baseline

The August 26 earnings release says NVIDIA returned approximately $26.0 billion through repurchases and dividends in fiscal Q2 2027, the quarter ended July 26, 2026. It also reported approximately $99.0 billion of authorization remaining at that quarter-end. Both figures describe an earlier reporting period, not the September announcement date.

The related 10-Q provides a more specific breakdown: it reports repurchasing approximately 94 million shares for $19.7 billion during that quarter and shows $99.3 billion of remaining authorization as of July 26. The combined shareholder-return headline includes dividends; it should not be labeled entirely as buybacks. Preserve the precision and labels used in each document rather than presenting rounded release figures as exact matches to filing totals.

Subtracting the newly approved $150 billion from the announced $235 billion yields $85 billion of prior remaining capacity implicit in the September announcement. That arithmetic is useful for checking the headline. It is not a complete transaction ledger explaining every movement since July 26. Use the next filing's repurchase disclosures for that reconciliation instead of labeling a difference between dated snapshots as a precisely verified cash outflow.

03

Execution has more than one moving part

The July-quarter filing says repurchases depend on market conditions, operating requirements and other investment opportunities, and that the program may be suspended. Read the September expectation alongside that existing flexibility. A multi-period plan does not specify equal purchases every month or quarter. An even spending schedule would be an analyst assumption unless the company separately states one.

A practical monitoring sheet should contain the announcement date, remaining authorization at each disclosed date, actual shares purchased during each period, and the associated reported cost. Add a separate field for the measurement basis. This avoids combining a quarter-end balance with a full-quarter flow and then interpreting the result as a new corporate action.

For the next review, the most useful update is not another repetition of the $150 billion headline. It is evidence of how quickly the company is executing, at what prices, and alongside which other uses of capital. Those observations could support different interpretations even if the authorized ceiling remains unchanged.

Translate spending into shares before discussing EPS

As an explicitly hypothetical sensitivity example, $10 billion buys 50 million shares at an average price of $200, but only 40 million at $250, before transaction costs or taxes. The spending is identical; the share quantity differs. Neither price is a forecast for NVIDIA, and this illustration does not estimate the company's actual future repurchases.

The relevant earnings denominator also requires care. NVIDIA's 10-Q describes diluted EPS using a weighted-average share count that includes potentially dilutive awards. A period-end count and the number of shares bought during a period are therefore not interchangeable with that denominator. Timing and other share changes matter.

Our analytical preference is to update the share-count assumptions only when the execution evidence supports them. A spreadsheet that immediately removes the full authorized amount at one assumed price can create a precise-looking result while hiding the largest uncertainties. Record the assumed price, timing and other share changes separately so their effects can be examined rather than embedded unnoticed in an EPS estimate.

Assess the capital-allocation tradeoff

A repurchase can be evaluated against the alternative uses of the same resources. For this research note, the questions are whether operating cash generation supports the chosen pace, whether investment needs change, and whether the balance-sheet position remains consistent with the company's obligations. These are proposed evaluation questions, not a claim that NVIDIA currently faces a funding shortfall.

The larger authorization alone does not answer whether the eventual purchases will be attractive at the prices paid. It also does not measure demand for the company's products. Keep capital returns in one part of the research view and operating evidence in another, then examine how the two interact. Strong business results and disciplined capital allocation are related considerations, but evidence for one should not be substituted for evidence about the other.

A more convincing assessment would combine subsequent execution data with the cash-flow statement and updated investment disclosures. A less convincing one would rely only on the headline size or an assumed market reaction. This article does not attribute a stock-price movement to the announcement.

What to watch in the next filing

Revisit the repurchase table, the remaining authorization, the share-count reconciliation and the sources and uses of cash. Check whether management changes its expected execution window and whether the actual pace fits the assumptions in your research note. Keep reported results separate from any projection through fiscal 2028.

The confirmed change is additional authority to repurchase shares and an updated remaining program. The unresolved question is how execution translates into per-share outcomes after considering price, timing and other capital needs. The three linked documents are original NVIDIA disclosures, not three independent assessments of whether the plan creates value. The cover is a conceptual illustration of capital allocation, not a depiction of actual transactions.
